Terms and Conditions for Website Design, Development, and Maintenance Services

  1. Taxes:
    • Indian customers are subject to 18% GST in addition to the agreed price.
  1. International Payments and Taxes:
    • Payments from outside India are exclusive of local taxes or fees, which the client must bear.
  1. Payment Terms:
    • 50% advance payment; the balance is due before project delivery or going live.
  1. Termination:
    • Either party may terminate with three months’ written notice. Failure to provide notice incurs a three-month fee equivalent.
    • Clients may not hire or contract Blue Panda Labs employees directly or indirectly for 12 months post-engagement. Breach incurs a penalty equivalent to one year of the employee’s salary.
  1. Payment Methods:
    • Accepted methods include NEFT, RTGS, Cheque, Debit, Credit Cards, and PayPal. PayPal and credit card transactions incur an additional 5% fee.
  1. Late Fees:
    • Late payments incur a 0.5% daily fee on outstanding amounts, plus a monthly administrative fee of ₹2,000.
  1. Rework Charges:
    • Approved and completed tasks requiring rework are subject to additional fees.
  1. Refund Policy:
    • 50% refund for cancellations before work commencement. No refunds after work has begun. All cancellations must be submitted in writing.
  1. Project Delays:
    • Stalled projects incur a 10% monthly fee on the total project cost after a one-month delay caused by the client.
  1. Portfolio Use:
    • Completed projects may be showcased in Blue Panda Labs’ portfolio.
  1. Design Credit:
    • A design credit line will appear on the website footer unless the client opts out by paying an additional 20% of the project cost.
  1. Additional Expenses:
    • Clients are responsible for costs like hosting, plugins, stock assets, and third-party services.
  1. Content Submission:
    • Clients must provide all required content within two weeks of project initiation. Delays may incur additional charges.
  1. Turnaround Time:
    • Responses and deliverables have a maximum turnaround time of two weeks unless otherwise specified.
  1. Third-Party Software:
    • Blue Panda Labs is not liable for limitations or disruptions caused by third-party tools, software, or plugins.

 

Terms and Conditions for Paid Ad Management and Digital Marketing Services

  1. Payment Terms:
    • Monthly prepaid fees apply.
  1. Taxes:
    • 18% GST is applicable for Indian clients.
  1. Third-Party Costs:
    • Media and ad spend are billed at actuals and are the client’s responsibility.
  1. No Guarantee:
    • Ad performance is subject to platform changes and is not guaranteed.
  1. Termination:
    • Two months’ written notice is required for termination. Failure to comply results in a two-month fee.
  1. Portfolio Use:
    • Marketing campaigns may be featured in our portfolio.

 

General Provisions

  1. Governing Law:
    • These Terms are governed by the laws of India, with exclusive jurisdiction in New Delhi.
  1. Dispute Resolution:
    • Disputes shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with New Delhi as the seat of arbitration.
  1. Limitation of Liability:
    • Blue Panda Labs shall not be liable for indirect, incidental, or consequential damages arising from the use of the Service.
  1. Changes to Terms:
    • We reserve the right to modify these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.
  1. Force Majeure:
    • Blue Panda Labs shall not be held responsible for delays or failures due to events beyond its control, such as natural disasters, acts of government, or internet outages.
